MISA License in Saudi Arabia: Requirements,  Process, & Renewal (2026)

A MISA license is the common name for the Investment Registration that the Saudi Ministry of Investment (MISA) issues to foreign investors. Under the Investment Law in force since February 2025, a foreign investor must register with MISA before engaging in any investment. After MISA confirms the registration, the investor can obtain a Commercial Registration (CR) and the other licenses the activity needs. MISA states its review takes up to 10 working days. Applications are filed online through Invest Saudi.

2. What a MISA license is, and what changed in 2025

For years, foreign investors obtained a “foreign investment license” from SAGIA, later MISA. The Investment Law that took effect in February 2025 replaced licensing with registration. MISA says the aim is more flexibility for investors. The law also allows investment incentives under regulatory conditions.

Registration comes first

Article 7 of the Investment Law says a foreign investor registers with the Ministry before engaging in any investment. Securities investments under the Capital Market Law are the exception.

It is not your company registration.

MISA registration records your investor status and approved activities. Your Commercial Registration (CR) comes from the Ministry of Commerce afterwards.

The word "license" is still used everywhere

Even MISA's own guide still says "investment license" in places. Use both terms and you will match what people search for.

Many older guides are out of date

If you read that the license is "valid for one year" or lists a fixed fee, the source may predate the 2025 law. Check the date.

3. Who needs MISA registration?

4. MISA registration vs Commercial Registration vs business licenses

This is the most common confusion we see. They are three different things, issued by different authorities, in a set order.

You can apply for MISA registration on its own first and complete the rest of the application later. MISA confirms this option for the electronic “establish a foreign company from abroad” service.

5.Registration tracks: which one fits your business?

MISA states there are two basic tracks, available activities and restricted activities, and its review takes up to 10 working days. On top of these, the Investor Guide lists special categories:

Professional activities (for example legal or engineering services) are registered separately and cannot be combined with non-service activities.

6. Can I own 100% of my Saudi company?

“100% foreign ownership” is possible in many activities, but the conditions depend on the activity. MISA states that some activities require a local partner and others do not. The Investor Guide gives these examples:

Why this matters: many investors discover the trading thresholds after they have paid for attested documents. Check your activity’s conditions before you start. Our Company Formation Advisor does this check for free.

Always confirm against the current Investor Guide, because MISA updates it regularly. The guide has been revised at least 13 times.

7. Documents required for MISA registration

For regular registration, MISA lists:

  1. Commercial Registration of the foreign partner, certified by the Saudi Embassy. If the parent company’s nationality differs from the applying company’s, you also attach the parent company’s registration.
  2. Last fiscal year’s financial statements of the foreign company applying, authenticated by the Saudi Embassy.
  3. Identity document for any GCC-national individual partner, if their data is not registered in Absher.
  4. Activity-specific requirements (see section 6).

Good to know:

  • Premium Residency holders are exempt from items 1 to 3.
  • Documents submitted to MISA do not need to be translated, although other ministries may require translations later.
  • The registration certificate itself is issued in Arabic only. If you need an English copy, use an accredited translation office.
  • Each partner’s documents are authenticated through Saudi missions abroad, regardless of the partners’ countries, if the service is available at the mission in their country.
  • The exact checklist is shown inside the application and depends on your registration type and activity.

Pre-submission checklist (IMBS uses this internally):

  • Activity matched to the correct ISIC4 code
  • Ownership structure checked against the activity’s Saudi participation rules
  • Embassy-certified CR and financial statements are current
  • Partner details consistent across every document (spelling, dates, percentages)
  • Contact officer email unique to this company (MISA does not allow one email for two companies)

 

8. How much does a MISA license cost?

MISA does not publish one fixed fee, and anything you read quoting a single number may be wrong or outdated. What MISA says officially:

  • The fee is determined by MISA when your application is approved.
  • You must pay within the deadline stated in the notification. The Investor Guide cites 15 business days in one section and 30 days in another, so check the date on your own notice. If you miss it, the registration is void.
  • Annual updates also carry a fee set by MISA.
  • Several post-registration changes (ownership, activities, company data, cancellation) are listed with no fee.

10. Keeping your MISA registration valid

Getting registered is only half the job. MISA’s guide sets out ongoing duties, and missing them has consequences.

Serious violations listed by MISA include: doing business without registration, trading with a lapsed registration that was not reactivated, giving misleading information, and changing ownership of restricted activities without prior approval.

What is a MISA license in Saudi Arabia?

It is the common name for the Investment Registration issued by the Ministry of Investment. A foreign investor must obtain it before engaging in any investment. It records the investor and the approved activities, and it comes before the Commercial Registration.

Officially it is now “Investment Registration”, following the Investment Law that took effect in February 2025. People, banks and even some MISA documents still say “license”, so both terms are in use.

MISA states its review takes up to 10 working days. Your total timeline also includes document attestation before you apply and the Commercial Registration after approval, so the overall time depends on how ready your documents are.

The embassy-certified Commercial Registration of the foreign partner, the last fiscal year’s financial statements authenticated by the Saudi Embassy, a GCC ID if relevant, and any activity-specific requirements. Premium Residency holders are exempt from the first three.
