For foreign investors, the process generally begins with MISA (Ministry of Investment) registration before conducting investment activities, followed by company establishment, Commercial Registration (CR), and activity-specific licenses.
A typical business setup process can be summarized in these steps:
1. Choose your business activity
Determine exactly what your company will do. Your activity affects the approvals, licenses and eligibility requirements.
2. Decide your ownership and company structure
Choose the appropriate structure based on whether you are a Saudi, GCC or foreign investor and whether you need an LLC, branch or another structure.
3. Complete MISA registration if required
Foreign investors generally need to register with the Ministry of Investment before carrying out investment activities. Some activities may also require additional approvals or have specific restrictions.
4. Establish the company and obtain the CR
Company establishment and Commercial Registration services are available electronically through the Saudi Business Center. For companies, the process can include issuing the Articles of Association and Commercial Registration electronically.
5. Obtain the required business licenses
Depending on your activity and premises, you may need municipal, professional, industrial, commercial or other sector-specific licenses. For example, commercial licensing can be handled electronically through Balady for eligible activities.
6. Complete post-registration requirements
Depending on the company, this can include tax and Zakat registration, employee-related registrations, national address, banking and other operational requirements.
Foreign investors should first determine whether their proposed activity is available for foreign investment and what MISA requirements apply.
MISA states that registration is available to foreign legal entities and certain individuals, including Premium Residency holders. The required documents depend on the registration type and activity.
For some foreign companies, documentation can include an authenticated foreign Commercial Registration and financial statements, although requirements vary and Premium Residency holders may have different documentation requirements.
This is where choosing the correct setup route matters. Starting with the wrong activity, structure or registration can create unnecessary delays and costs.

Straightforward electronic registrations can be processed quickly, while foreign-investor setups, regulated activities, document authentication and sector-specific approvals can take longer.
MISA currently states that the examination period for investment-registration applications can be up to 10 days, depending on the applicable registration track.
